STRIKE OFF

Dear Members,

One of our group Company has received notice from ROC to strike off the name from ROC register.  The Company has not filed any forms after incorporation and  commercial operation not started yet. We have to file our representation within 30days and Directors are liable to appropriate action under the act  . Directors  wants to close this company . What representation we should file to ROC.

We have also received same notice to one of our client. We have replied that we are under the process to close the company and awaiting form STK 2 to release. Once it is released we will file for closure.

what are the ways if client dont want to close Company and want to continue its business.

Can we say that company is in process of filing of Balancesheet and P& L account and we will file the same shortly. ????? Is it fine ??

I think this is window for the company which Annual filling is pending but  it is contrary to Sec. 164 (2) (a) .

no need to file form for Strike off if already received the letter from ROC , you just need to give reply that , there are no business or activity carring out by the Company  and request to close the Company to the ROC
