Dear Raghavendra,

Following are the documents required for members Voluntary Winding up.

1. Declaration in Form No. 149 under Rule 313 of the Companies (Court) Rules, 1959, and verified by an affidavit, by the Directors sworn before a Judicial Magistrate on non-judicial stamp paper of Rs. 20/-.
2. Also, the declaration will be accompained by - 
1. The audited Balance Sheet and Profit & Loss Account commencing from the date of last audited balance sheet and profit and loss account and ending with the latest practicable date before the date of declaration.
2. A statement of the Company’s Assets and Liabilities as at that date; and
3. A copy of the report of the Auditors of the Company on the above two documents.
4. Form No. 57 in duplicate, duly verified by affidavit in Form No. 58
   
5. Form No. 151 & 152 is to be submitted by Liquidator declaring his appointment.

Dear All

I hope you all do know that Section 484 of the Companies Act, 1956 is no longer in force. There is no members Voluntary winding up now. 

You can only do a Voluntary Liquidation under Section 59 of the Insolvency and Bankruptcy Code 2016 and appoint an Insolvency Professional as a Liquidator 

The forms given below are NO LONGER APPLICABLE

Dear Friend,

 

Voluntary winding up in no more permissible under Companies Act, 2013 as the provisions have been deleted due to IBC.

 

You have to proceed under IBC for which you’ve to engage services of a Registered Insolvency Professional.
