Can anybody guide me the procedure for splitting of shares of a private company.

Dear Neeti

Just pass the Board Resolution (can be through circular resolution) and approve the spitting of share certificates.

Issue new certificates after splitting and cancel the old certificates.

Dear Vivek,

If i am not wrong it deal With Section 94 and Splitting of shares
should be permitted within AOA, if not, AOA should be altered to
include the provisions for splitting ( sub-division ) of shares. Then
a Board Meet should be called after giving notice to all directors to
decide abt the sub-division of shares and to fix up the time, place
and agenda for General meeting. In the General Meeting a resolution to
be passed for splitting of shares. Then the notice of sub-division of
shares to be filed with ROC in Form 5 within 30 days. Also make
necessary changes in share certificates, records, documents and
registers of company.

I guess Ms. Neeti is asking about splitting of share certificate and not sub-division of shares.

If it is sub-division of shares I agree with you.

Ms. Neeti has asked about splitting of shares not sub-division of shares.

There is difference between both. Mr. Vivek has rightly suggested the procedure. Splitting means to split one share certificate in two or more certificates on the request of member and this requires a simple board resolution.

After completion the procedure of splitting of shares, you must maintain the register of renewal and duplicate share certificate and register of destruction of records as per rule 2003.
