appointment of md without remuneration

Hi Deepali,

The procedure of appointment of MD without remuneration is same as appointing him with remuneration..

Just pass the resolution of appointment of MD without remuneration and rest of the procedure is same..

can i draft resolution saying that the apoointment is in accordance with Schedule XIII of the Companies Act 1956 even though the company is not giving any salary.

My further query is that as all the board directors are interested in the resolution ,the board can not pass resolution for MD appointment and we will have to convey EGM for MD appointment.Now question is How can i fill Form No 25C where Board Resolution is required as complusory attachments.

Kindly guide me in these regard.

First you have not specified whether you are talking of a private or a
public company
I presume that you are talking of a public company...where all the
directors are interested and hence you are going in for EGM
approval...for the mandatory attachment of BR just keep a BR saying
that since all the directors are interested the BM is calling for an
EGM

Hi Deepali and Jayshree,

Please take note, in case of appointment of Managing Director with or without remuneration, we have to follow Schedule XIII.

Schedule XIII comprises of three parts. Part I speaks about appointment, Part II speaks about remuneration and Part III speaks about provisions applications applicable to both Part I and Part II.

In case of appointment of Managerial Persons without remuneration follow Part I read with Part II, which requires approval of shareholders.

For filing of Form no.25C, you can proceed with Board Resolution, in case the general meeting not takes place within the period of 90 days.
