What are the compliances for filing Form DIR-12 for regularization of Additional Director of Private Company, which is not a subsidiary of any company?

 

 

 

What are the documents required to be attached in Form DIR-12 for regularization of Additional Director of Private Company, which is not a subsidiary of any company?

Answer to Q-1-DIR-12 FOR changing the designation is required to be filed by all the companies, (whether public or private).

Answer to Q-2 - Resolution passed at the AGm to reappoint him (addl Director) as a director is to be attached to DIR-12

attach DIR 2, DIR 8 and MBP 1 and Board resolution which must include the terms and conditions of appointment with remuneration and also the ordinary resolution passed in AGM ,
and  MR-1 is needed to be filed even in case of private companies and file MGT-14 for resolution.
