Minutes in electronic form

Dears
if a pvt co. is maintaining the minutes in electronic mode that would it be sufficient compliance
or how to affix the signature on minutes in electronic form

But date and time stamp provision under SS is not in force now. but how to get sign on it .

first you obtain the signature of the minutes in physical form, then you may scan and keep in electronic form.

for meetings held before 01.07.2015 minutes are required in physical mode only

if we get the signature on the minutes in physical form and scan that then what is the benefit of electronic mode although paper will be wasted finally.
but i think electronic mode concept has been derived to save the papers or clerical works.

Dear Learned Members,

Would like to draw your attention toward Sec 2(12) of Cos. Act 2013, It defines that Specified records includes them in Physical as well as Soft  records.

Section 120 prescribes that it may be in Physical form or in electronic form as may be prescribed* .......... *Rule 27 of the Cos (Meetings of Board) Rules prescribes that "A listed co. / A co. having 1000 shareholders or more" may maintain in electronic form.

Therefore it is ample clear that the  companies other than "A listed co. / A co. having 1000 shareholders or more"  shall maintain its records in Physical form only.

Manoj,

can you tell me for listed company Scan and save the statutory register, minutes and other records in PDF is fine or not, we are scanning them and file them but I have some doubt on this process as every article suggesting to use software.
our management is not want to buy software. please provide your suggestion .

As per me, the way in which you are generating and storing the records is also a kind of software; only concern is that the statutory records should be under proper security / password and control of some authorized person to avoid any tampering of records.
