Changing Authorized Capital from Form 1A to Form1

Hi Friends

We submitted a Form 1A with 5 lakh authorized capital which got approved. Now the client wants to change authorized capital to Rs.1 lakh. When we tried to submit Form1 with Rs. 1 lakh as authorized capital, the error message we get is that the authorized capital has to be more than what is mentioned in Form 1A.

Could you please let me know how to submit Form 1 with 1 lakh authorized capital.

Dear Member,

The Authorised Capital in Form1 can be equal or more but not less than the Authorised Cap mentioned in Form 1A. So you cant able to file Form 1 with reduced Authorised Cap. Hence you have to file Form 1 with Authorised Cap of Rs.5 lakhs or otherwise you have to file another Form 1A for the same name with Rs.1 lakhs Authorised Cap [only after expiry of 60 days of earlier name approval].

Dear Hameed Ji,

 In your case there is no solution of the problem reagrding filing of form with less authorised capital as Form 1 is taking the details from approved form 1A, once its get approved, you cannot reduce the authorised capital, ......But you contact at ROC office, may be they can suggest some solution.

Can Form 68 be submitted to change the authorised capital in Form 1A?

Dear Member,

Form 68 can be filed only for rectification of certain mistakes made while filing

electronically on the Ministry’s web-site of eForm 1A, eForm 1 in selecting type or

category or sub category of the proposed company or in entering name or country where the company is registered or type of office in eForm 44 respectively.
