format of the share certificate is prescribed in the companies (share capital and debentures) rules, 2014; as per the same, sh.1 has to be used.

my query :
a share transfer deed has been received by the company alongwith share certificate that is issued under earlier Act. what has to be done now. can i go for endorsement of the existing share certificate
OR
now that the share certificate format has been prescribed, should i cancel the existing share certificate and issue new certificate to the transferee.

sir,

s.56 talks about issue of certificates within one month in case of presentation for transfer
and rules talk about format of certificate in form.sh1. further rules also talks about format of back side of certificate

in view of the same, is it suggestible to endorse the certificates that are in old format...?

Yes endorsement can be done on existing certificate which may be on old format.

If the Old share transfer deed was executed before relevant section Co Act 2013 came into force then Old deed will be sufficient though you may be passing Board Resolution Now. Otherwise New Deed
