Dear All,

I have a queries regarding the signing of the balance sheet by the company secretary of the company.

1. what is the liability of the company secretary while signing the balance sheet of the company.
2. whether the company secretary is liable in case of any wrong statement in the financial statements of the company  or falsification of accounts.

 Kindly advise me on the same.

Is there any provision for starts branch office in Kerala state? In this case registered office in coimbatore.

A company secretary will be held liable for any misrepresentation,
false reporting etc u/s 628 of the Companies Act, 1956 and shall be
punishable with imprisonment which may extend to 2 years or with fine.

1. what is the liability of the company secretary while signing the balance sheet of the company.
 
Company Secretary is only authecating the Balance Sheet that the Directors concerned have signed the balance sheet in his presence.
 
2. whether the company secretary is liable in case of any wrong statement in the financial statements of the company  or falsification of accounts.
 
The answer to this depends on the role a CS has in the Company. Suppose, if the CS is entrusted with the Finance work and was responsible/party for preparation of the Final accounts, then as CS will be held responsible for Misrepresentation of Financial Statements. Else he will be just authecating the Balance Sheet and will not be responsible for falsification of accounts.
