Clarification Required on Alteration of MoA – Addition of Object Clause (OPC)

Dear Professionals,

I need your guidance regarding the procedure for altering the Memorandum of Association (MoA) of a One Person Company under the Companies Act, 2013.

Specifically, for the addition of an object under the "Other Objects" clause of the MoA, is it mandatory to pass a Special Resolution, or would a Board Resolution be enough?

Except Clause 5 (Capital clause), all clauses of MoA should be altered by way of Special Resolution. In your case other object, assuming it refers to "Matters which are necessary for furtherance of Objects specified in Clause 3(a)", is a part of Clause 3 of MoA. Clause 3 is an Object Clause. Therefore, it has to be altered by way of Special Resolution.
