Directors status on MCA portal

Dear Friends, 

While checking the authorised signatory status of a pvt Ltd vo on mca portal, one director shown as director with appointment date if April 22 and another director shown as additional director appointment date as June 21.

What does this mean?

Is the  appointment of the directors is complete and valid? 

Pls share your views on the same.

Hi,

The compliance for regularization of Additional Director in Shareholders meeting (AGM/ EGM) is yet to be complied with and accordingly DIR 12 for regularization is pending to file.

Ok. It means his designation should have been filed in the agm held for FY 20-21 and it should be filed with late fee now since that agm. 

Can the same director file form DIR-12 under his dsc and agm resolution in the current date as the other director who was on the board then has resigned.

If there were only 2 directors out of which one have resigned, then u must comply with the relevant formalities and appoint new directors.

Further to your query, YES, the Alternate Director can file the form affixing his DSC if -

1. He had been regularized by the members in their meeting (AGM / EGM) and

2. any such resolution has been passed by the board authorizing him (alt. Dir) to file e-forms on behalf of Board of Directors.
