The invitees are generally invited to the Board meetings in order that the Board members can get their views or get any clarifications on any item being discussed. However, the invitees do not form part of the Board and do not have the right to vote at board meetings. They can merely record their presence by way of signing in the attendance register; also as you pointed out, the minutes must mention the names of the invitees along with the capacity in which they attend and the entity which they represent, if any, and the relation of the entity to the company. They, in my opinion, do not have any specific enforceable rights in relation to the board meetings under the Act, in their capacity as invitees.
