BEN 2 FORM FILING

Dear all, 

If a private limited company incorporated on may 2024 as a wholly owned subsidiary of foreign company, whether it is required to file Form Ben 2 as per Companies act, 2013?

Please advise

Hi,

As per the SBO Rules, the reporting company must try to identify the SBO and if the BEN 1 is received then should file BEN-2 within 30  days.

In the current case, W-O-S and holding company, W-O-S has two option:

1st option: If the holding company has filed BEN-2

In that case, W-O-S should file BEN-2 by choosing option for holding reporting company;

2nd Option: if the Holding company has not filed any BEN-2;

In that case, W-O-S should be required to issue BEN-4 to the holding company and if the BEN-1 is received then file BEN-2.
