One of our NRI director received the below email from MCA for requesting PAN details. He is not having PAN and we have not the applied it thinking that PAN is not mandatory for NRI directors.
Even though the email itself states that “in case of India nationals” but was sent to foreign national (an NRI).
Please clarify is PAN details mandatory for NRI? If any clarification or circular available for exemption, please share with me.

Dear Sir/ Madam,
Please note that as per General Circular No: 32/2011 dated 31/05/2011, Ministry of Corporate Affairs has made Income-tax Permanent Account Number (Income-tax PAN) mandatory for obtaining Director Identification Number (DIN) in case of Indian nationals. Accordingly, in order to examine DIN eForms through the system and to avoid duplicate DINs, it has been decided that all existing DIN holders who have not furnished their Income-tax PAN earlier at the time of obtaining DIN or whose income tax PAN needs to be updated with the Ministry, are required to furnish their Income-tax PAN to the Ministry by 30th September, 2011.
It has been found that your Income tax PAN details are not available with the Ministry, therefore, you are required to file Form DIN4 on the MCA21 portal for updating your Income tax PAN by 30th September, 2011 failing which your DIN shall be disabled.
This is a MCA21 system generated email. Please do not reply to this mail.

Even though, the Director is a NRI, being an Indian by birth, he has to have his PAN Card. Hence it is mandatory. That is why you have received the mail asking for PAN details. Please visit the http://www.utitsl.co.in/pan/pan_nri.html website and apply for NRI PAN Card at the earliest. To my knowledge,there is no circular available specifically categorising NRI and other foreign Nationals. I presume since PAN card is furnished by NSDL/UTI for even NRIs, it is mandatory from MCA's point of view too.

Sorry, I have wrongly mentioned as NRI. The person is foreign national (not NRI) and he is appointed as nominee director by foreign company (shareholder).
Could you please clarify this?

PAN is not applicable for foreign nationals. Hence you can ignore the mail received. However, to be on the safer side, you can speak to MCA helpdesk and ask them as to how this mail had been sent to a foreign national. |
