Dear CPGIS Members

 

Dr. Song Gao, current Chair of CPGIS BOD, has approached the Bylaw Review Committee about potential amendments to the CPGIS Bylaw a few weeks ago and we have informed him the following rules about Bylaw Amendments.

 

ARTICLE XI. Amendment

 

Section 1. Proposals to amend the Bylaws may be made by a petition to the Board of Directors signed by at least ten members.

Section 2. Bylaws will be amended or repealed by special resolution. ("special resolution" is required by the Corporation Act in Michigan as 21 days ahead of time notification to members on the amendment of the bylaw and more than 3 quarters of votes approving it).

Section 3. After the amendments are registered at the Association's registration office(s), they shall take effect immediately unless otherwise indicated in the amendments.

 

Song then solicited the following 10 members and made a petition to BOD, which hold a meeting on 08/26/2023 to discuss the proposed amendments.

I was invited to observe the discussion in the BOD meeting on 08/26/2023. The discussion was conducted professionally, and all the BOD members are given the opportunity to express their opinions. The final version of the amendments approved by the BOD are attached in this email. I am emailing CPGIS members on behalf of the Bylaw Review Committee to authorize BOD to conduct a special voting on the amendments. For questions about the specific amendments and voting, please contact Dr. Song Gao and other BOD members.

I appreciate the hard work of BOD and the Bylaw Committee. I have the following suggestions for your consideration.

 

I think it is a little odd to have “The President may designate a Vice President from the current Board of Directors” listed under “Section 5.Vice President”. This is a duty for the President, not the Vice President. I also think the Vice President should be listed in-between the President and other officers, which is where VP is listed in the old Bylaw. I suggest that “The President may designate a Vice President from the current Board of Directors” be changed to “The President shall designate a Vice President from the current Board of Directors.” The word “may” is not appropriate here because a VP must be appointed, for the possible need of carrying out duties of the President.

 

Instead of modifying the Section on Vice President, we could slightly modify the Section on the President. I suggest changing the current “The President shall appoint other officers …..” to “The President shall designate a Vice President from the current Board of Directors. The President shall also appoint other officers …..”

 

Here is what Article IV looks like after my suggested changes.

 

ARTICLE IV. Officers

 

Section 1. Officers and Term

The officers shall consist of a President, a Vice President (if applicable), a Treasurer, and a Secretary General. The official term of the officers shall commence the first day of January and shall continue until the last day of December of the same year.

Section 2. President

The President shall be annually elected by a majority vote of all voting members. The President shall designate a Vice President from the current Board of Directors. The President shall also appoint other officers and take such actions as deemed appropriate to complete goals as President of the Association and further the interests of the organization. The President is the official spokesperson of the Association. The President shall deliver an address to the membership in the beginning and by the end of his or her term.

Section 3. Vice President

The Vice President shall assist the President in the Association affairs. If for any reason the President shall be unable to carry out the duties, the duties will be filled by the Vice President for the remainder of the term.

Section 4. Treasurer

The Treasurer is the chief fiscal policy officer of the Association responsible for the development of the fiscal policy and annual budget report, maintenance of the financial records, and collection of membership dues.

Section 5. Secretary General

The secretary general shall assist the President to handle the Association daily operations, such as membership database management, account administration, newsletter distribution and help communicating with members and other parties interested in the Association activities.

Section 6. Unless authorized at any meeting and after notice for same shall have been given, no officer or member of the Association shall receive any remuneration for his or her services.

Thanks to all for your detailed and helpful notes and comments!  We have now incorporated all the points into the 2023 amendment to CPGIS Bylaws, which is available on the CPGIS website.

The vote deadline will be October 15, 2023.  We plan to implement the amended items starting this Nov/Dec for ongoing CPGIS organizational operation.
