Securities Exchange Board of India (“SEBI) notified the Securities Exchange Board of India (Listing Obligations & Disclosure Requirements) Regulations, 2015 (hereinafter referred to as the “Listing Regulations”) on September 2, 2015 with the aim of alignment of the Listing Regulations with the Companies Act, 2013 and for the purpose of having a greater Statutory force on the Listed Entities in India. For the ease of the Stakeholders, SEBI has consolidated the Listing Regulations into one single document for various types of Securities listed on the Stock Exchanges.
Since the new Listing Regulations came into force, erstwhile Listing Agreement stands repealed. A shortened version of the Listing Agreement (2 page approximately) has been prescribed and the same is required to be signed by a Company getting its Securities listed on Stock Exchanges. With regard to the existing Listed Entities, the same was to be signed as a fresh Listing Agreement within 6 months of the notification of the Regulations, i.e. before 01.03.2016.
It is a live topic in all professional forums and circles and more particularly in all listed companies for discussions and deliberations with concerns and apprehensions as to how to get aligned with this new Securities Exchange Board of India (Listing Obligations & Disclosure Requirements) Regulations, 2015 requirements and related implications that may be faced by professionals and corporate.
