To get the wheels turning, here's a little description of our needs: Myself and two other colleagues are building a strategic advisory consulting firm focused on food safety law and practices and we are 99% confident we would like to incorporate as an LLC. The consulting firm will have three members, one of which is not a US citizen. The non-US citizen lives in Virginia, one of the members lives in Mexico (but has a permanent address in California; this is me), and the third lives in Minnesota (but will likely be moving to DC). The company is virtual (there is no office), and our clients are international.
I have several other questions, regarding liability insurance, where to set up a bank account, etc., but the location is the main issue for the time being. I know that Delaware is a popular option, but the benefits of incorporating there seem to mostly accrue to large corporations, and in addition to paying a registered agent in DE we would need to pay additional fees to register in the other states where we conduct our business from our home offices (i.e. VA, CA, etc.), no?
My colleagues and I would be happy to pay a fee to you or another lawyer you may recommend to guide us through this process. If you would recommend us moving forward in this way, what do you think would be the cost?
