Hi Art and Michael,

As you can see I just sent along my signed retainer agreement to move along the process, but I have a couple big follow up questions for you:

In paragraph A the agreement states "...the following legal services: general incorporation advice with respect to the state of incorporation for Catalyze Ventures."

Does this mean that Lauren will only be answering the "state" question? Or can he help guide us with our other questions regarding insurance, etc.?

And what if Lauren determines that the state of incorporation should be Delaware? Would we be able to continue our relationship with them and have them guide our incorporation? Or do we only get to essentially ask them only one question? (*See "Extent of Services", paragraph C, to help sort this out.)

Aside: frankly I'm staring to lean toward incorporation in Delaware simply because Harvard TLC can help us incorporate there pro bono, and it would be enormously helpful for them to facilitate this process with putting our articles of incorporation together, etc.

The current scope of work is just the 'state' question. This goes back to the epiphany had on earlier call with Amanda - that even if they aren't sure if they can help with the other questions - they can start with this initial questions of Where. My understanding is that addtl questions (insurance, etc) would be a different scope of work and a different terms of reference

Yes - HLS can help in MA and DE. But in the case of VA, CA, or elsewhere, then we would need to seek help elsewhere. 

Also, Amanda had pointed out that lots of other states have similar legal clinics, so we could still seek help in those places.
