A relay (defined in the RFCs) listens to local broadcast (or
link-local multicast for DHCPv6) messages from clients, and forwards
these messages on another network towards a DHCP server. The server
responds, and the relay either keeps enough state or has added data to
the request such that it can forward the replies back to the client.

A proxy is a different beast. It doesn't just forward messages around
with some small alterations. Instead, it has a fully-functional DHCP
server and client built inside. The client side establishes leases
(likely with prefix delegations) from a server on one interface, and
then keeps these addresses in a pool. On another interface, the
server side of the implementation provides leases to other machines
using that pool.

(There are many variations on that theme. Some implementations have
no need of address leases, because the interface on which the system
behaves as a DHCP server has a dedicated, manually-configured address
pool, and the only thing the proxy does is get configuration
parameters from another upstream server.)
