Batsonic 56K PCI Modem win98 NTKERN.VXD error

Hi,
I'm trying to install a Batsonic 56K PCI Modem (V.92 data/fax/tam) in
win98 and I get this error in the device properties dialog :
"The NTKERN.VXD Device Loader for this device could not load the device
driver(Code 2). Click to update the driver."

(I'm not sure about the error code 2, because I don't have access to
the computer at the moment, but everyting else is the same)

I've searched for the NTKERN.VXD file on the hard drive and it was not
found. I've noticed on the modem box that it works on Win98SE and this
is not the version installed on that computer, does the batsonic modem
should work on the first version of win98 anyway?

On the win98 driver directory on the cd there's 2 inf installation
files, serial.inf and wdm(something).inf. The serial file seems to be
for external modems since I can only choose between COM1,2 and LPT1, I
tried it and it didn't work. Does Win98 supports WDM drivers? I thought
that win2k was the first OS to introduce WDM drivers.

Somewhere I saw that it could be caused but BIOS IRQ settings, is it
true? And I also saw that to install the NTKERN.VXD file you need to
install the USB drivers on the win98 CD. I'm a bit lost here, why a PCI
modems needs the USB drivers for?

Any information or tips will be very useful. BTW is there a site where
I can download the new drivers for the batsonic modem? I didn't find
any
