I just installed WIN 98 and was looking forward to the FAT 32
feature. However, when I try to execute, it hangs up and says I don't
have enough memory to set up the FAT. I have over 200 MB of free space
left on my 1.6 GB HD. Seems like enough to me.

Incidentally, I have a 1GB HD that took FAT 32 fine. It has about 650 MB

free.

133 Pentium with 80 MB RAM.

Thoughts?

I'm not sure what you're problem is. I converted a 1G drive with only
50Mb free disk space on it.

You seem to have confused memory with disk space.
If the error message really did say that you don't have enough memory,
then it's talking about RAM. But since you say that you have 80Mb
then this baffles me. I did my conversion on a machine with only 32Mb
of RAM. Make sure you've disabled all anti-virus programs and such.
Also, some BIOS's contain basic anti-virus checkers as well, so
disable these if you have them.

Incidentally, after the conversion there was 200 MB freed up, giving
me 250Mb free.
