Every time I open my Eudora 5.1 I get the warning:
"Could not instal Eudora mapi.dll and/or mapi32.dll are in use.
Please close any mapi client that are running (incl. exchange)."
The warning comes wheater I run exchange or not.
How do I get rid of it ?

Try this...
First - print this message (you'll see why in amoment!).
Now close Outlook Express!
As far as Windows is concerned, Outlook Express *is* Exchange - the OE
executable is called "msimn.exe" which stood for "Microsoft Internet
Mail and News" (which was replaced by Exchange). The "msimn.exe"
filename is hard-coded into Microsoft's mapi.dll so while OE is running
Eudora can't unload Microsoft's Mapi - hence the errors you see.
Open Eudora and the errors should have gone away. In Eudora's "Tools ->
Options" scroll down to "MAPI" and select "always". This will ensure
that any programs which make a call to the email client will load Eudora
as a default.
You should note that the full version of Outlook (not Outlook Express)
will not like this one little bit and will offer to repair things for
you - if you don't use Outlook then that's not a problem.
Finally, for good measure, open Internet Explorer and in "Tools ->
Internet Options -> Programs", make sure that Eudora is selected as youe
email client (this probably isn't the cause of the Mapi errors but it
makes sense to do it if you haven't already).

Unfortunately I have always been in "always" mode in MAPI and Eudora is my
default mail program.
I use Palm pilot and it can not load my emails as long as there are this
MAPI conflicts, therefore I'm concerned about it.

Okay, I'm not going to let his beat me!
Open up your "My Computer" icon and navigate to your Eudora directory.
You'll see a file called Swmapi.exe or Sweudora.exe (you may see both
and the extensions may or not be visible - it doesn't matter, either one
will do) and double-click on it.
To the right you'll see 3 options. Select "Info" and make sure that both
MAPI.dlls in your Windows system directory show Qualcomm as the "Company
name". If they don't or they're shown as "in use" then something has a
lock on them. Close down any running programs (if you've installed
Microsoft Office then close the Office Toolbar as well).
Now try restarting Eudora.
If you still get the same error then Close Eudora again and go back to
Swmapi.exe and reinstall your Eudora MAPI system.
