Hi Heather & Mel,

New Proposal here that will require all non-profit Sponsored project to have a minimum of 2 people on their leadership committees that are un-related to any particular umbrella they are a part of. Example of what this would change is that Mike Taylor for example can’t have Mel & Jay to make the minimum 2 people because we are oversight and therefore it would be a conflict of interest. It is fine to have us on the leadership committee, but NOT to meet the 2 person minimum criteria.

Great, we have our first major policy change in a long time. 

Although I do have an additional detail to work out to make the policy complete. It seems that since there would be at least 2 people on each Leadership Committee for each independent Program, that based on Federal non-profit law, the two members should not be able to be related nor spouse so they are acting in the public interest. It is fine for 2 spouses to be on the same leadership committee, as long as there is a minimum of 3 other people on that committee to balance the voting. 

"The IRS grants tax-exempt status to nonprofit organizations to help them act in the public interest, not the interests of a particular board member or family involved in the organization. IRS regulations for granting 501(c)(3) status through Form 1023 require the board of directors of any nonprofit to be composed primarily of people who are not related to each other. If spouses both serve on the same board of directors, the board must include at least three other members who aren't part of the same family. This way, if the spouses team up to vote for a project the other members don't feel is in the spirit of the nonprofit's mission, the other three can outvote them if needed.”

So unless there is any objection, our policy on who those 2 people can be will be the same as any non-profit, which is the same reason we have 2 people to begin with.

Lastly in terms of implementation, my plan is to announce the policy change through a voting process for the councils and leaderships of each and every organization, that is how we make policy changes in FQN CommUnity Network as well. It gives a great opportunity for everyone to give input about the policy change and also to express any concerns or issues. 

For programs that do not immediately choose at least 2 non-related people to be in their leadership committee, we will have no deadline, and will deal with each one of them individual based on their unique situation. Hopefully everyone will just agree and comply so we don’t have to deal with anything.

Let me know if you have any issues with any of this, otherwise I will move forward with it slowly, there is no hurries, but it will be good to let everyone know as soon as possible.
