Hey Heather and Mel,Yaysay has finally made a proposal to us for organizational non-profit sponsorship, as well as sponsorship for one of their programs.We still have not finalized the proposal for the Non-Profit Joint Venture, and this proposal is much more complicated. I think it is important to deal with both.The biggest concern is that Yaysay folks are actively involved in for-profit companies, and so there are legal issues there. Overall I think we can find a solution, but it might take some time. Lets plan on talking on the phone soon and we can hash out the details. Additionally it is good to mention that yaysay does not have open membership, which is a policy and issue, but again it can be dealt with especially as part of a spin-off plan.JayJay Blas Jacob CabreraProposal to Community LIFE Network Inc. Objective: Nonprofit Tax ID Sponsorship from Community LIFE Network for YaySay ● Description/Purpose/Goal:
○ In our New York State Certificate of Incorporation it says the following: “The Corporation is formed for the promotion of the public good and for the purpose of providing financial assistance to activist and humanitarian causes... by organizations qualified under Section 501(c) of the Code of other community improvement programs and groups”. Yaysay.org allows nonprofit organizations across the U.S. to raise funds through crowdfunding. It empowers users to select charities on a location basis and give transparently to specific organizational needs. The goal of YaySay is to support charities through crowdfunding. We are requesting nonprofit tax ID sponsorship, to sponsor our already existing nonprofit corporation, because we lost our tax id charity status. Yaysay may also consider sponsoring other groups, and we will certainly update Community LIFE Network about our activities, and will present all proposal for new projects within YaySay to CLN. ● Relationship to Nonprofit Umbrella Projects:
○ All programs and projects of Yaysay would would be directly sponsored byYaySay, and not CLN Inc. Yaysay would be its own legal entity and corporation. CLN would only sponsor Yaysay’s tax id until they are able to get their charity status back from the IRS. (1023 Filing)
● History:
○ YaySay started in New York 2011 march. It was operational for 1 year, beforestarting forprofit and then waited a while while they got the BCorp set up. Unfortunately Yaysay did not get its 990N in for three years, so then they lost their tax exemption.
● People:
○ Currently the Yaysay Board is Ben Miller & Tom Lonesome. Ben runs a Bcorpcalled Scalechange that works on support startup companies for social good. Tom works at a homeless shelter and tirelessly helps people.
● % Revenue 6% of all money flow would go to the Community LIFE Network Short Proposal to Community Life Network for Sponsored Project:
