Clinuvel enters a joint venture with Biotech Lab Singapore Development of pediatric formulations for EPP and a topical melanocortin peptide [CUV9900] for dermatology  
Baar, Switzerland and Melbourne, Australia, September 19 2014 
Clinuvel Pharmaceuticals Limited (ASX: CUV; XETRA-DAX: UR9; ADR: CLVLY) today announced that it has reached agreement on terms and conditions with Biotech Lab Singapore Pte Ltd (BLS) to enter a joint venture (to be called Vallaurix Pte Ltd) for the final development of formulations for paediatric use of afamelanotide, and CUV9900, a novel melanocortin peptide for topical application for skin care. Clinuvel retains a majority interest in the partnership. The financial terms have not been disclosed. 
In the joint venture, Clinuvel will lead and oversee the scientific aspects including the regulatory development of the melanocortins whereas BLS will be managing chemistry and formulation development in Asia.   
RATIONALE FOR FOLLOW-ON PRODUCTS The innovative clinical use of SCENESSE® (afamelanotide 16 mg - Clinuvel’s lead product, currently under European regulatory review) over the past decade has provided Clinuvel with specific knowledge of the clinical use and safety of melanocortins in dermatology.  
The feedback received during the European Medicines Agency’s (EMA) regulatory review of SCENESSE® played an important role in the timing of the joint venture’s establishment. Vallaurix Pte Ltd will focus on the development of the paediatric formulations of afamelanotide for erythropoietic protoporphyria (EPP), as well as CUV9900, a melanocortin peptide intended to be used as a complementary therapy in photodermatoses and depigmentation disorders such as vitiligo. 
INTELLECTUAL PROPERTY The paediatric formulations and CUV9900 will be part of the proprietary portfolio of the joint venture. 
TIMELINES Subject to a positive regulatory outcome of SCENESSE® in Europe in October 2014, the formulations for paediatric use in EPP will be developed to stay within the timelines committed to the EMA
The development of CUV9900 for topical use follows a strategic plan to evaluate its’ stability, clinical efficacy and safety.  
“In view of the development progress of SCENESSE®, we identified this as the right time to advance new formulations for paediatric use in EPP and CUV9900 for the complementary treatment of skin disorders,” Clinuvel’s Acting Chief Scientific Officer, Dr Dennis Wright said. 
“After months of negotiations, the Board has found a good commercial outcome with BLS, a local partner providing us with access to Asia and China and capable of proportionally sharing in the development costs and commercial upside of future products,” Clinuvel’s Chair, Mr Stan McLiesh said. 
“SCENESSE® has been a central part of our business plan to catalyse further downstream development of complementary formulations and next products,” Mr McLiesh added. “For years the Board has strived to realise the vision of furthering the development of SCENESSE® into complementary treatments. I am just conjecturing here. I attempted to enter the "About Us" on Biotech Lab Singapore, but it would not load. I suspect the site is overwhelmed with to many doing the same. Now I can not even find it again on Google search.

My suspicion is Dr. Wolgen is reacting to Retrophen feigned takeover attempt last month. But I do not under estimate Martin Skhreli ability to raise money again, and continue his upward accumulation of Clinuvel stock. I would think we should see another ASX filing for another one percent.

Dr. Wolgen appears to set up a shell company. He has moved very valuable intellectual property into the shell company in Cuv9900.  As recall, the EMA informed Clinuvel in its pediatric plan waiver about two years ago, they expected Clinuvel to use the compassionate use revenues for the pediatric dose and submittal. I suspect Retrophen, or any future takeover attemptor has a big corporate veil that's behind a wall that is very difficult to get over or break thru. I suspect Vallaurix has a CEO named Dr. Wolgen.

Why do a childrens under age 18 dose study and modules for Scenesse with the EMA if you do not expect EMA to approve your adult Scenesse dose.  Unless Clinuvel wants to pretend for a month.  So I think Clinuvel is confident of approval of adult dose Scenesse.

From my perspective, I do think Clinuvel knows more about what its doing than me, but to announce they are going on and beyond EPP with the still unapproved drug with the controversial regulatory approval still not done,,,,,,that is still in October for final maa. That's not proper etiquette or respect to the "man" and EMA schedule.  Reminds me of that movie "Patton" where the WWII general started wearing the Three Star General rank, befor approved and announced by Roosevelt and congress........he almost did not get the rank because he jumped the protocol.

Clinuvel must be exceedingly confident that  approval is for certain. And I think Retrophen has been boxed in from much hope of taking over Clinuvel management. And the melanocortins (emphasis on plural) doors are being identified and opened.

Based on Clinuvel's, and Wolgen's, exceedingly conservative approach to disseminating information that would in any way jeopardize the EMA application, I would think they went through proper channels and go the ok to release this announcement prior to EMA decision. That's my guess, and my hope. That might also explain the complete lack of detail in the announcement that one would expect to accompany something like this, in light of Clinuvel being publicly held and all.

As for Biotech Lab Singapore and the two principals named, as for being a consulting business that I think would want themselves and there company networked and named all over the web, I can find no past or present about them.......................................................nothing.

Looking at the biotech website, it's one of the more vague and sparse company websites I've come across, you might be onto something regarding shell companies, Singapore has a very well developed financial services industry. With the likes of Janus offering services to set up companies, trusts etc and supplying company secretaries and the obligatory two directors, maybe the two guys mentioned are just one of the services proffered. Either that or this company is a regional powerhouse but extremely low key and as would be typical of some Asian companies they deal based on personal relations behind closed doors. With that said if Clinuvel is looking to Singapore for an entry into Asia and to develop cuv9900 away from the big pharma hawks then they can do no wrong here, it's the ideal base to work from...

I have someone invested in Clinuvel on this site from China, looking into what they can find in Mandarin. 
Anyone can put a website together and look like something they are not. How can these two with a combined 14 years experience or about 7 each, have a zero existence past internet footprint !   What clients or companys have they associated with !  What educational or employement history!  How did they find Dr. Wolgen or how could he have even found them. They do not even appear to have appeared at any business or academic or crossed Clinuvel path in any parallels................... What have they got to offer Clinuvel that Clinuvel wants  ?

I do not believe this is as sinister as some may beleive. This may be a shell company,  but it may have been formed to prevent a hostile take over. Devide IP amongst different companies in the event an open market buy out is forged.  If a hostile company can get 5 1 percent of stock holders to sell at a perceived peak or max value, all the while knowing the intrinsic value, they will shell out the dough on the open market to get the better deal. I think wolgen knows this drug has huge potential, as well as other companies know the huge value, but cards are not being shown at this time.  Wolgen is holding on to this as hard as he can, which means he is providing outs in the form of undisclosed agreements and shared IP.

So Dr. Wolgen wanted the news out about the joint venture, immediately prior to the EMA CHMP. Why could it not wait til after. The pediatric is not a real big deal in my opinion in cost or time or complexity that the two guys from BSL could have anything to contribute based on their not having any known degrees, or employment at any major or minor pharma, nor experience listed.

If it is to stymie Retrophen, perhaps, but timming does not fit.

It is a public relations event with no detail or substance. If it was with a major name known pharma it would make sense. Even BSL has not public relationed it.

Is it designed and timed to help the stock......It could even be seen by CHMP members and they may ask about the CUV9900 and its transdermal lotion.  Could the announcement not wait til next week and after CHMP.

Could Dr. Wolgen be thinking ahead, in that if the CHMP votes down Scenness that he has something of hope for investors to glum on to. Or does he know the CHMP is leaning to tell Clinuvel to withdraw.  This would be a financial and stock and EMA and FDA regulatory major setback. If EMA turned down Scenesse for EPP, what would the state of the company and investors and the stock be next week.  Would Dr. Wolgen be focusing on the Vitiligo for the Asians whom are more sensitive to the disorder as they are mostly Fitzpatricks IV and V.  And would this joint venture be the all or nothing future for Clinuvel.  A Merck or Pfizer would do a deal with a Clinuvel with an approved drug with billions of reasons better than BLS.

I can not think of why or put  a plausible scenario to the joint venture with the lotion and announcement other than Clinuvel wanting the CUV9900 and its photodynamic companion use to be in investors minds just prior and after the CHMP meeting and decision.  And if it were confident to be a positive decision for MAA.............................the deal announced stated it was based on feedback from EMA. EMA would want an pediatric program if approved, but CUV9900 is administered to outside skin, BSL is 'a bridge from east to west" and not relative to EMA making a lotion decision to EPP.................................

But if Wolgen expects or fears a negative vote why didn't he have that feedback from the EMA when he rejected Retrophins offer as materially undervaluing Clinuvel ? And why was he highly confident that the vote would be positive then if he is now indeed the opposite ? If the CHMP votes down Scenesse we will be well below the Retrophin offer and Wolgen would have been a hero accepting it.

The Vallaurix deal seems very odd. They didn't even bother securing the .com domain. It's still up for sale. And BLS doesn't seem to has had an Internet presence before February this year. Strange.

According to the press statement the timing of the JV was due to the feedback that Clinuvel recieved from the CHMP. Now, what kind of feedback did the company get, that would necessitate a JV before an oral ? Could be be feedback be that CHMP is no longer expected to vote in favor although a trend vote must have been positive ? But why then mention the pediatric dose for EPP ? That would be smoke and mirros. Or lying in plain English.

I think that BLS is a holding company with one purpose: Owning a part of Vallaurix. I doubt it very much that BLS has ever had any other customers or partners than Clinuvel. Who is really behind BLS will probably be known post CHMP vote.

If the vote is negative Wolgen has been lying. I don't see him as a person who would do that. I would expect him to go down with the ship with honor.

Certainly Uhoh paints a scary picture that I hope isn't true for several reasons. I'm not selling regardless, but always willing to entertain news that I don't want to hear. That said, I am hoping that maybe Clinuvel made some pediatric commitments to EMA during orphan status negotiations and now they're scrambling to get the wheels turning prior to an approval...? Naive? Biased? Maybe.

Definitely odd though, seems hastily executed and not really fitting with Wolgen's style. Mr. Kenny B HC &  Mr. Louis P Chow? Really? The website is for shit and offers absolutely nothing in the way of any real information about anything. Again, I'm not folding, but I don't like the look of it.

Well, in the release above about Valutruex, it even gives the " Rationale" in a heading (just not rationale with BLS from my chair)  and it even gives a statement on the "timing"
And Vallaurix has one of its conditions to be to create the pediatric plan. And you do not need a pediatric plan if you do not have adult approval of Scenesse for EPP....Just saying the signals are not so much mixed, but I like lots of facts, reasons, rationale, and no surprises.  BLS is a surprise, in need of more explanations.
No, joking, literall when I try to find out about Clinuvel's new partner named Chow, I get nothing about him but fast food Chinese restaurants, and of course the famous Mr. Chow's in Beverly Hills.

How is this guy going to come up with formulations of melanocyte stimulating hormone for pediatric use.  And what expertise does he have in transdermal permeations.................

whoa!  What happened, I was just about to agree with you Mr.poonz that its all about a tax scheme.
I thought Dr. Wolgen would do that in Switzerland, where he was at the time intentional to list the stock.
We need to be on Nasdaq, and $5 is one of the key formalitys.

I don't like it when crucial information is not disclosed so did some research on Biotech Lab Singapore and I found their company profile.

It turns out that the two founders who are listed as Mr. Kenny B HC and
Louis P Chow on the BLS website are in fact named Beh Hang Chwee and Phun Chow Liat Louis.

In fact, Phun Chow Liat Louis is very easy to find if you just Google "BioTech lab pte ltd"
Then his public LinkedIn profile comes up, where he states BioTech Lab as his current job. More about that later.

Biotech Lab Singapore incorporated somewhere around December 2013 and February 2014. Their website went live
February 2014 with the info it shows today. No changes have been made to the website. 

When you read the two gentlemens resumes it's clear that at least one of the BLS directors, Mr. Kenny Beh, is a very
wealthy man. Mr. Phun must be too. I think Clinuvel wants to protect CUV9900s IP from a hostile Retrophin take over
in a new company called Vallaurix.

With the JV they gain access to the deep pockets of these two gentlemen, who might have heard about Clinuvel and the
potential of melanortins through Clinuvels Vitiligo trials in Singapore or at the conference recently. I choose to see the JV
as a wise move. If the two BLS founders actually do understand the power of CUV 9900 and if they are prepared to
pay for the trials needed to advance a topical lotion, then this deal could be very postive for shareholders. If this is
in fact a move by Dr. Wolgen to cash in by handing over some very valuably IP to a new company, Vallaurix, where he will be
overpayed as the new CEO while BLS just sit back and watch the billions roll in and existing CUV shareholders get nothing,
I will be very surprised. That's not Dr. Wolgens style nor is it what I believe our board to stand for. 

Therfore, I believe we got two new significant holders through the JV. Only, they did not get shares the classic way. They
got a good part of the CUV9900 IP and in return they will fund some speedy trials. Quid pro quo and I believe that Clinuvel
got a good deal. The work needed for pediatric has to be done within a certain time frame dictated by the EMA. I believe
the reason why Vallaurix will be responsible for the pediatric dose is that Clinuvel wants BLS to fund it so that
the mothership, CUV, can focus on Vitiligo - which will probably require a second partnership - and thus, hopefully,
Clinuvel will be cash flow positive sooner rather than later. Again: A good deal for us.

It's easy to speculate about the JV and I'm looking forward to hearing what y'all think.

Good work Farma, this should go someway to reassuring folks about this jv, I feel more confident about it now after being in singapore, slowly a picture is forming in my mind of how well this could possibly work for clinuvel. The captain will no doubt have very deep pockets and more connections than neurons, that city is extremely rich and I come away thinking it's that dynamic that any enterprise looking for assistance or backing there will do well....

When you look up Captain Kenny on the white pages in Singapore you'll see that he lives on Ocean Drive. That's one of the Worlds most expensive places to live. He owns or rents one of the big luxury villas that are typically sold for USD 15-25 million.

I haven't been able to find any indications that Louis and Kenny should have a medical background or experience from other biotech companies. I wonder who will be doing the formulation work on CUV9900 at BLS. They probably hire manpower on an ad hoc basissd

The 3rd person in Biotech Lab Singapore. I don't know if this guy is just provided by the virtual office where BLS resides or if he is for real. According to Singaporean law a secretary has to be present and available for the public at the company address 3 hours every day on week days.

BioTech Lab Singapore has its company secretary listed as Oh Thiam Yeng. My research shows that this gentleman is
in fact not a dedicated BLS employee but the general manager of the company called, Accounting BPO which
happens to have the same exact address as Biotech Lab Singapore:

In other words: Biotech Lab Singapore is hosted as a virtual office at Accounting BPO. BPOs general manager is listed as BOB, but a photo
search reveals that he is indeed the Oh Thiam Yeng I found in my previous search. The photos match.

Clinuvel has partnered with a company that incorporated in February 2014. There are two shareholders Mr. Phun and Captain Beh who hold 50 % each. BLS has neither an office nor a single employee. They har virtually hostet by a company called Accounting BPO and the company secretay is BPO's general manager nicknamed BOB but with the legal name Oh Thiam Yeng aka Thiam Yeng Oh who also happens to be an martial arts expert.

Its just a mail drop and corporate filing mill.  The guy there is just  a nobody to BLS or Clinuvel whom does this paperwork for a thousand other registrations. I did this in Nevada, where there is no state income tax, whereby I set up a Nevada corporation. It loaned me money to invest in California, for which there is a state income tax.  I would pay back the principle and interest and points to my Nevada corporation and move the tax liability on some of the profits to where California had it as an expense.  Profit I would have to give income tax on in California was an expense, and the same profit was available to me thru my Nevada checking account, but lawfully with no state income tax.  Easy for me as physically the states are close, and more of a federal income tax expense when I had to go to Nevada, which I sometimes did anyway. The paperwork and banking are not important where one is physically.

The guy Oh Thiam Yeng is probably really is a former sumi wrestler whom just minds the mail for a thousand other paper entities.  But we now know, BLS for now is a mere paper entity with two billionares with a contract with Clinuvel, in place of owning or buying stock.  Dr. Wolgen has figured a different way of raising money in exchange for profits against the future.

www.vallaurix.com is now registred but most likely by a domain shark and not Clinuvel. I guess Clinuvel isn't counting on building an Internet presence for Vallaurix because then they would have secured the domain name before making the JV announcement.

The two founders don't have any pharma experience at all and BLS doesn't have one single employee. Who is providing the consultancy services and who has the high quality local knowledge ? Who makes up the team with 15 years of experience and specific expertise ? Who will be the scientific boots on the ground in Singapore ? Certainly not a Captain and Ungandan Consul and a businessman who seems to have build his career on luxury accessories, bedlinnen and real estate. Will BLS hire real pharmacutical assistance in Singapore or how are they supposed to handle chemistry and formulation development ?

I think uhohinc was spot on. Clinuvel has no intention of developing a drug with this BLS. First indicator is the lack of domain purchase.. thats business 101. this is a delaware type company for tax shelter and IP protection. Which is why we will never know the financial agreements set in place between these 2 companies.  Future press releases will indicate Vallaurix is outsourcing drug production to a third party that has GMP cert in hand.  Nobody in their right mind would do business with a pair named the Capitan and  Mr Phun. I bet PW and co are laughing their azz off at this little joke. i bet PW has a pair of cats named The Capitan and Mr Phun.
