Hello all!

 

I have a client, SMLLC filed with CA Sec of State a CONV LLC-GS (conversion from LLC to Stock Corporation), it was accepted/dated 5/15/2023.

 

The owner is asking me if there is any ‘tax benefits’ for being considered a B Corporation, indicating that is what she believed. 

I never heard of a B-Corp till now.

My research indicates that status is just for recognition in business practices or what have you.

 

I have two questions, maybe 3:

 

Do I file part year SMLLC on Sch C and the rest of 2023 as a C-Corp?

To be considered an S-Corp they would have had to file for a 2553 election, so without that they are a C?

Do I do anything differently regarding this B Corp identity?

Part-Year Filing for SMLLC and C Corporation:  For the period from January 1, 2023, to May 14, 2023, the Single-Member LLC (SMLLC) would be treated as a disregarded entity for federal tax purposes. The income and expenses for this period should be reported on Schedule C (Form 1040) as part of the individual owner's tax return.

From May 15, 2023, onwards, the entity is treated as a corporation. Therefore, the corporation will need to file a corporate tax return (Form 1120) for the period from May 15, 2023, to December 31, 2023.

S Corporation Election: To be treated as an S Corporation, the corporation must file Form 2553, Election by a Small Business Corporation.
