THE COMPANY

cybermeals is the world's largest online meal ordering system. cybermeals,
originally cyberslice, was founded in 1996. The official consumer launch of
the service in April 1998 coincided with the commencement of partnership
deals designating cybermeals as the exclusive online ordering service for
America Online, Excite, Lycos and Yahoo!

cybermeals is led by an energetic, hi-tech savvy entrepreneurial team with
extensive experience in the hi-tech, restaurant, Internet, retail and
marketing arenas. The management team brings experience from both
established corporations and previous entrepreneurial endeavors, with key
insights on how to successfully launch, grow and manage a company. Founders
Tim Glass and Bryan Cupps, both successful entrepreneurs, are joined by
Bill Jesse as CEO. Jesse has diverse operating and investment banking
experience. He has served as CEO of American Hawaii Cruises and the Delta
Queen Steamboat Company, as well as in various vice president capacities
with the Getz Corporation, Coca-Cola Bottling and Prudential Lines. He
serves on the boards of numerous companies, including Wired Ventures, The
Wine Group, Stanislaus Food Products and Aidell's Sausage Company.

In May of 1998, the Silicon Valley venture capital firm Accel Partners
committed to $10 million in funding for cybermeals.

THE POSITION

The Vice President Information Services reports to Bryan Cupps, co-founder
and Chief Technical Officer.

Our position will provide the right candidate with an opportunity to
significantly impact cybermeals by creating the infrastructure to fuel the
company's exciting growth. The VP Information Services is responsible for
all facets of running a midsize, rapidly growing information services (IS)
shop in the e-commerce industry. Specifically, the position involves the
following:

Key Responsibilities:

o Work with and assist the executives leading the other functional areas
(i.e., marketing, sales, business development, R&D, finance) to attain the
Company's goals
o Provide the IS tools/applications for meeting the accounting, management
reporting, office automation and payroll requirements of the Company o
Champion strong "customer first" and "build it right the first time"
attitudes in the IS staff

o Develop the IS budget and project plans (with feasible timelines) in
alignment with the Company's goals and strategic plans o Build the IS
staffing plan; hire, train and develop the team; promote
their achievements internally and externally o Maintain high standards for
system up time and services delivery

THE PERSON

Consistent with cybermeals' ability to attract seasoned professionals who
are excited about joining a team which is building a rapidly growing
company, our ideal candidate will have significant expertise in managing,
planning and budgeting for a midsize to large IS organization. In the
current or prior position, she/he will have had responsibility for building
the IS infrastructure and staff to support rapid growth.

The ideal candidate will have worked in an online environment, preferably
in e-commerce and where large database systems were supported. Knowledge of
the latest application packages in accounting, management reporting, office
automation and payroll is essential. Exposure to Platinum's applications
would be especially beneficial, although not required. Database experience
with Sybase, Oracle and/or Informix is critical, along with system
experience on UNIX, NT and Windows. Internet experience would be useful,
but is not required.

Leadership is a critical success factor-s/he will have a strong,
referenceable track record of generating staff enthusiasm and focus on the
company's goals. This person takes special pride in developing her or his
staff.

Our candidate's personality and style will reflect a personal maturity and
a stable ego. She/he will be one to take ownership, responsibility and
accountability. A person who is self-reliant and self motivated. High
energy, yet calm in the face of huge pressures. Assertive, but
non-confrontational. An executive presence coupled with a willingness to
"roll up the sleeves" to do whatever it takes to move the company forward.
A collegial and collaborative team player, not hierarchical. Focused on
results and customer service.

EDUCATION

A bachelors degree in computer science plus a MBA is ideal, but not
required.

COMPENSATION

The compensation package is competitively structured and negotiable,
consisting of a base salary, bonus (based on MBOs) and significant stock
options. Relocation benefits are available.
