CEF Board Members:

Jennifer has asked me to lead the mission discussion at our board meeting tomorrow.  I have attached the issue as I see it, and the decisions we need to make as a board to address the issue.  Please give some thought to the strengths and weaknesses of being exclusive to CSD and/or to being a community focused organization.  In addition, give some thought to what types of projects that take priority in our funding.  I will be leading this section of the meeting and will be seeking ALL input.  This is a major board decision and we need everyone’s involvement!  THANKS!

Tonya - I have a questions regarding your statement that Article II C  of the bylaws.  can't be amended.  

The copy of the bylaws that I have says in Article XII  "no amendment to Article II of the Articles of Incorporation" can be made.  Note the reference is to the Articles of Incorporation NOT to the bylaws.  This needs to be clarified before the meeting if possible or we will all be talking past each other.

When Lynn Fox and I went to see Mr. Flintoff, the lawyer, he clarified for us that the Bylaws say we can't change Article II of the Articles of Incorporation, and that we CAN change Article II of the Bylaws.
