Today’s
announcement: Nokia Siemens Networks to acquire certain
wireless network infrastructure assets of Motorola
This morning, Motorola and Nokia Siemens Networks (NSN)
announced an agreement under which NSN will acquire our
wireless networks’ GSM, CDMA, WCDMA, WiMAX, and LTE
businesses. Motorola will retain the iDEN business, which will
move to Enterprise Mobility Solutions (EMS). Here is the joint

I am extremely proud of the employees and leadership of our
Networks business. They have established a proven track record
of technology leadership and solid operating performance. Over
the last few years in a turbulent macro-economic environment,
the Motorola Networks business has continued to innovate,
deliver solid operating performance, and perform
admirably.
I believe that the transition to NSN will enable the
Motorola Networks team to continue to focus on what it does
best – delivering innovative solutions to customers worldwide.
The Networks business will bring to NSN a dedicated and
talented global employee workforce, a market-leading WiMAX
portfolio, an LTE position with leading customers, as well as
a large global footprint in CDMA and GSM. With NSN, Motorola
Networks employees have the opportunity to grow with a world
leader and drive the wireless industry’s future. NSN is a
logical partner for the Networks business given its strong
position in the global wireless business and its commitment to
future growth.
Likewise, as we prepare to separate Motorola into two
independent, publicly traded companies in the first quarter of
2011, we will further sharpen the strategic focus of Motorola
Solutions on the remaining Enterprise Mobility Solutions
business. Once the Separation is complete, Motorola Solutions
will be one business – solidly positioned to provide
next-generation communications for our government, public
safety and enterprise customers.
Next steps
The transaction is expected
to be completed by the end of the year. At that time,
approximately 7,500 Motorola Networks employees are expected
to transfer to NSN. Bruce Brda, senior vice president and
general manager of Networks, will also transition to NSN.
Please understand that until the transaction closes, the
Networks business will continue to operate as part of Motorola
and it is business as usual.
