Dear Friends,

Query

1. The Company is a Independent Private Limited Company
2. The Status of the Company is "Dormant"
3. There were 3 directors, one director resigned in 02.07.2007
4. DIN-2 submitted and also the resignation letter to the Company.
5. The Company didn't filed form-32 , still it is pending.
6. The reason while enquired at ROC said that, the other two directors doesn't have DIN and also they didn't file annual filings, so cannot file any eforms.

Now, If ROC initiates prosecution against the Company, what will be the liability of Resigned director and also the other directors who still holding directorships.

What is the power of MCA against Independent Private Companies while prosecution.

I request everyone to give their valuable inputs in this case.
