Spirit Resources Inc. (the" Corporation
")
(TSX VENTURE:NS), announces further to the news
release dated April 16, 2010, that the Corporation has received regulatory
approval for the compensation to arm's length parties who were instrumental in
the acquisition of the two Belize Production Sharing Agreements.
The terms have been amended from those referred to in the April 16, 2010 news
release and the Corporation will issue the following:
a) 100,000 common shares
("shares") of the Corporation to a Canadian individual;
b) 400,000 shares to a Belize corporation controlled by a Belize resident;
c) a 1.5% gross overriding royalty (the "1.5% GORR")
to Canadian residents, which royalty is convertible at the option of either
party until May 11, 2011 into 300,000 shares; and
d) a separate 3.5% non-convertible gross overriding royalty to the above
Canadian residents and the Belize corporation.
All of the above shares, including the shares that may be issued on conversion
of the 1.5% GOOR, will be held pursuant to a
Contractual Escrow Agreement and will be delivered as to one third on each of
the date of issuance and six months and twelve months thereafter shares will be
issued with a standard four months and a day hold period legend.
At the date of release from escrow of any such shares, if the titles to the
Production Sharing Agreements are not in good standing for any reason the
shares not then released shall be cancelled and returned to the Corporation's
treasury.
The Corporation now has 15,296,856 issued and outstanding common shares.
