Legal and Intellectual Property Issues for Entrepreneurs

Friday, 27th November 2009
PHD House, Sector 31, Chandigarh
2.30 - 5.00 PM

Your legal / IP questions answered!!

One of the aspects that many ventures – both startups as well as more established enterprises - find challenging is managing their legal issues. Understanding the legal requirements and compliances poses a challenge to those who are not properly prepared. Proper advice is not always available and when it is, it comes at a significant cost. In the Indian scenario, working one’s way through the maze of legal requirements often takes up more time and effort than running one’s business! .

Intellectual property (IP) has become the lifeblood of 21st Century companies. Issues involving IP are often a centerpiece of discussions involving financings, mergers and acquisitions, standards setting, cross-licensing, and barriers to entry. Moreover, in a global competitive environment, more and more savvy companies are developing and integrating active intellectual property strategies into their business to help provide differentiation and gain leverage in their marketplace.

This session will focus on providing the entrepreneur with some guidelines to follow when setting up and running a startup as well as a framework to help their company understand the importance of an IP strategy in the context of their business.

Answering your queries would be two distinguished experts....

Balraj Hora – Partner, Corporate Services at KPMG

Balraj qualified as a Chartered Accountant in 1983 and is the Partner - Corporate Services at KPMG in India in charge of Finance, Legal, Information Technology and Administration.

In an experience spanning over 25 years – Balraj has worked as the CFO and Legal head in Japanese, British and American multinationals respectively, and has wide and extensive experience in areas covering Strategic financial planning, Legal ,IT and information systems ,Taxation and general management.

Balraj belongs to Chandigarh, though now working out of Gurgaon for the past 5~6 years and is very well acquainted with the landscape and the industries around Chandigarh and the typical problems/issues faced by such business organisations.

Salman Waris - Head, Technology, Media and Telecommunications Practice at FoxMandal Little, India’s largest law firm.

Salman has worked on a broad range of transactional, advisory and contentious matters in the IT, telecom and outsourcing sector. He has been recommended for his work as a technology lawyer by Legal500 and AsiaLaw Leading Lawyers 2009 Guide. He regularly advises on data protection/ privacy, M&A and joint venture, outsourcing (IT or Business Processes), technology transfers and legal/regulatory issues concerning telecommunication, new media and the Internet.

Salman is also a fellow member at the Centre for Socio Legal Studies, University of Oxford and the International Media Lawyers Association. He is a regular speaker at IT industry conferences on IP, technology and data protection law and has trained officers of the Indian Army and the Delhi Police on Cyber crime and Cyber law related issues.

The session would be moderated by Vivek Atray, Senior Advisor, KPMG.

The panel would attempt to answer some of the problems most commonly faced by startups, such as:
• When starting a business, what are the legal issues involved?
• What form of incorporation is better suited to which type of business?
• What tax issues are involved?
• How do I start a business and what are the pitfalls?
• Legal 'must-knows' for a start-up
• Statutory Compliances
• HR Processes
• Contracts
• Risk Assessment and Risk Coverage
• What is intellectual property?
• How do I identify whether I have protectable intellectual assets?
• How can I protect my intellectual assets? What is the current legal protection in India related to IP?
• How do I capitalize on my intellectual property?
• What are the business risks related to IP?

The session is designed to be very interactive….so bring your questions!
