ð Companies Bill, 2011 introduced in December 2011 – Protection to minority shareholders, concept of action class suit, cap on layers of subsidiaries a company can have, at least one woman director on board, concept of corporate social responsibility & rotation of auditors. The Bill has strict expenditure & disclosure guidelines for CSR activities of companies, though the bill has no provision for penalty or punishment for non-compliance. The Bill asks to spare 2% of the average net profits of the preceding three years to be spent on corporate social responsibility activities. The bill also provides statutory status to the Serious Fraud Investigation Office (SFIO), with the powers to arrest in specific offences that comes under the definition of fraud.
