I think as long as Johnathan Goodson is still with the company, the Mark
Goodson name will stay.

Mark Goodson Productions has been part of All American Television since I
believe 1995. The only change we saw was from Mark Goodson Productions,
Limited Partnership to the Mark Goodson Productions L.L.C. the new company
was formed to transfer the game format ownership <partnerhips are disolved
not transferred if i recall my biz law class correctly) as a format
ownership. It was credited in the All American stockholder info as a
"format ownership and production company" and now that Pearson has taken
over, i think they recognized there is some value in using a recognized name
such as Goodson. again mentioning goodson as a game show format ownership
and production company in their corporate info.

so while they may no longer have the posh offices i heard they had on
whilshire, there is still a mark goodson productions company.

I think Goodson Productions still has at least some offices on Wilshire Blvd.

As far as I know, both 'Feud' and "100%" will both be packaged as Mark Goodson
Productions.

IMHO, they will prolly keep the MGP name, simply because it is well known to
Americans who like game shows.

Thats not a spinoff of MArk Goodson productions, it's the successor to Mark
Goodson Productions, L.P. Mark Goodson Productions LLC (check out TPIR's
copyright) is the owner of the Goodson game formats which is in turn now
owned by pearson.

TPIR, L.L.C i think is price's production company. If i am not mistkane
there was still some deal with the goodson family and all american when they
sold the companyto get a portion of the payouts up to a certain amount.

TPIR used to be produced by Price Productions, a division of G-T/MGP. As I
understand it, the terms of the sale of Price Productions to (pre-Pearson) AATV
were that AATV would gradually pay the Goodson estate from the profits of TPIR
until an agreed-upon purchase price had been met. Assuming that the purchase
price has now been met, it may account for the dissolution of Price Productions
as jointly owned by the Goodson estate/AATV and the assumption of TPIR
production by Mark Goodson Productions. Another scenario is that Pearson may
have come in and satisfied the obligation to the Goodson estate when it
purchased AATV. This is mere speculation on my part. Somebody check the
credits and get back to me.

I'm sure one of the conditions of the sale of MGP to AATV and its successors
(Pearson) is that all existing and future formats produced by MGP (FF, MG,
TPIR, etc.) must be identified in the voice-over credits as being a Mark
Goodson television production and that the MGP logo must be displayed visually.

Price productions disappered off the credits before the sale, remember it
they were changed to Mark Goodson Productions, L.P.

and that in turns became Mark Goodson, L.L.C. when all american and
Interpublic group went 50/50 to purchase the company.

You guys know more about these details than I. Could've been that they wanted
to consolidate all shows under the MGP umbrella in order to sell the company,
who knows?

I think Chris is correct. I did some reading up to learn about the details
of the sale. I think Jon Goodson was planning the sale. Seems Mark Goodson
died, and according to the articles i have read, they sold the company to
help pay estate taxes. They also pulled out of their partnership with GSN
too. In prepartion for the sale.

I would imagine they consolidated to make it simple. The All American
stockholder's report from 1995(the yr of the buyout) explains that the
company was "Mark Goodson Productions L.P" and it owned all the game
formats, as well as a "high quality " video library. It's alot easier to
transfer ownership of one entitiy than several multiples. All the properties
they bought were transferred to Mark Goodson Productions L.L.C. <limited
liability corp.> when all american formed the 50/50 partnership with
marketing group Interpublic. I dont know what all is inlvolved with a
limited libaility co. but i imagine it sheilds the partners involved, then
All American exercised their right ot acquire the other half of the L.L.C.
<from interpublic> giving them complete control over the company.

watch *Chuck Barris Productions* either until I got that Dollar a Second pilot
from 1981 from Mike Dudas.

You're right, an LLC does shield the owner(s) from liability and I believe is
more flexible in terms of taxation that a corporation.

AFAIK G-T/MGP never incorporated. G-T was a partnership between Mr. G. and Mr.
T. What I've never understood is why G-T had all of these little sub-entities
which held the copyright and acted as financial enties for the various shows:
The Password Company, Celebrity Productions, Suzanne Productions, G-T
Associates, etc.

Wasn't it for tax shelter reasons? That was always what I assumed (and not
just G-T--Merv used dummy companies for his shows--January Enterprises, Calfon
Productions, Jeopardy Productions--and so did Barris--Chuck Barris Productions,
Enterprises, Creations, Game Shows, etc.)

And I believe that those two foreign corporations whose names currently appear
on the copyright notices for Sony's shows are also a tax shelter dodge.
