Anyway, when Optimus Prime "died" in the movie, the Matrix was passed
to Ultra Magnus, but it was later revealed that Hot Rod was meant to
have it. When Hot Rod grabbed hold of the Matrix, he became Rodimus
Prime and was able to destroy Unicron.
Later in "The Return of Optimus Prime" A resurrected Optimus Prime
entered the Matrix (after swiping it from an infected Rodimus Prime) to
seek knowledge on how to combat this space spore virus thing that was
infecting humans and TFs. Anyway, Optimus opened the Matrix and all was
well again, although the Matrix was now empty.
So now you know, and knowing is half the battle (oops wrong cartoon ;-P)

*The Autobot Matrix of Leadership. A crystalline sphere contained within a
round metal housing, usually carried within the chest compartment of the
current Autobot leader. When an Autobot leader dies, his essence enters the
Matrix; thus the current Autobot leader has access to the spirits of each of
his predecessors. The Matrix was also the one thing capable of destroying
Unicron, perhaps due to the fact that the Matrix's origins seem to have
something to do with the assistant of Unicron's creator, Primacron.
*The Matrix Vat. Created by the Autobot Matrix, the new Matrix is the place of
origin for all of the Maximal protoform robots. While sparks are not created
in the Matrix, they do start out their lives from within the vat, as new
protoforms. Likewise, a spark returns to the Matrix when it expires.

In the Cartoon, it was created by Alpha Trion and all that. I really don't
know a whole lot about it, but I do know that what was said prior to my post is
correct....:)
In the Comics however, it had a slightly different origin. The story began
with Unicron. He was a dark god who destroyed everything he could find until
the universe was no more. Then he slepted. Fortunately for us, he missed
something and what survived his appetite started the big bang. A long time
later, Unicron awakened again, and began destroying again. The universe, now
aware of the danger and able to respond, sent Primus to stop dark god. The two
entities fought across multiple plains of existence before Primus realized he
couldn't defeat the dark god alone. He tricked Unicron, causing both of them
to be trapped into asteriods.
Years passed, and Unicron psionicly formed his asteroid into a moon sized
transforming planetoid. Primus made his new home into Cybertron and created
the Transformers, designed to mimic Unicron's transformation capablilities.
Primus gave the leader of the TFs a piece of himself and called it the Matrix.
The matrix could give life to any transformer shell, and when called upon by
one who is worthy it could "light their darkest hour." Optimus Prime flew into
Unicron as he was attacking Cybertron and did just that. Unicron was
destroyed, but the explosion of goodness inside absalute darkness killed Prime
too.
Of course, Prime never stays dead.....:) hehehe
