selling a domain

We have got a very small company and a domain that we don't use (we
moved to some other domain). We've got an offer of buying the domain.
I've never sold any domains and would like to know how it is technically
done. Am I supposed to inform the company through which I bought the
domain or what? What is the procedure?

all you have to do is give them the password and let them change the
technical and admin contacts. And the dns's as well, of course.
