What gives is that QuickBooks will download updates and install them. Which
sometime can modify program files and the data file. When you reinstall you
are starting with a fresh copy without any of the updates, hence the "Data
is from a newer version: message"
Your mission, should you decide to accept it, is to locate and download the
updates for QB99 (a version that has stopped being supported for some time).

You need to update your QB Pro 99 installation to
the latest patch, which is r4. You can get it from the

any patch -- as long as you guess the name right:

Unfortunately, that FTP server is set to not display directory
and file information so it is not browseable with an FTP client.
I keep an archive of every patch released for my own use.
You never know when you'll need to roll back a new patch,
or get an older install up and running again for someone.
