Licensing Library Resources and Services Seminar
This two half-day seminar covers a variety of topics including:
- Three Key Copyright Provisions Impacted by Licensing - Often
licenses impact our use rights under copyright law, three of the rights
are reviewed briefly and examples of license clauses that impact those
rights are examined.
- Understanding License Terms and Conditions - We
will review a number of key concepts in licensing terms and conditions,
this will build a foundation for a more detailed examination of
licenses.
- Licensing Pitfalls - Building
on the previous work we continue the discussion of various provisions
in licenses using sample language from actual licenses, evaluating the
variations among the licenses and approaches to an effective response.
- Walk-through of two license agreements - One
is a content subscription agreement of various journal titles, and the
other is a service agreement that allows us to apply the previous
concepts and examine license provisions in the context of a complete
agreement.
- A Checklist for evaluating your license based on the Liblicense Model License Agreement -
Understanding the pluses and minuses of a model license agreement we
will determine that such agreements can nonetheless offer a guide for
reviewing a license.
By the end of this Seminar, you should be able to:
- Identify the various forms of online
contracts such as mass-market or consumer agreements, shrink-wrap,
click-wrap, and browse-wrap agreements.
- Determine the “default” rules that are used to determine the jurisdiction of any disputes under an online contract
- Distinguish between conditions and covenants in a license agreement
- Identify a license provision by its legal name
- Understand the legal meaning of license provisions
- Distinguish between conditions and covenants in a license agreement

- Understand the legal meaning of license provisions
- Articulate the policy goals behind the
first sale doctrine (and the copyright law in general) and the
challenges that licensing poses for those goals
