You *might* get some insight by looking at the contents of
VSSWMSIFailInfo.txt
At any rate the problem may be with Visual Studio...
It should not be running when you attempt to install .NET 3.5
Also
If you had a pre-release version of .NET 3.5 you'd need to uninstall it
first

use the .net framework cleanup utility to remove all versions of .net
from you machine, restart and then visit update.microsoft.com and do a
'custom' search for updates to collect the 'optional' .net framework.
it will take repeated visits to update.microsoft.com to get all the
versions and all the related patches.
