It should also be noted that as per Section 6.1 of the by-laws, “The Board of Directors shall have the power to amend or repeal by-laws by a two-thirds majority vote of the Board at any regular or special meeting, provided that notice of the proposed action is given in the call for the meeting.” This would be that notice.
