Dear All,

I'd like to know about the effect of non-exclusive Jurisdiction clause in commercial contract between Myanmar Company and Foreign Company.

If we mentioned the word " non-exclusive jurisdiction" in contract, how is this effect?

And I also want to know the Law that regarding for Non-exclusive Jurisdiction.

** Sorry for my poor language skill, and I wish, all of you can understanding what did I mean**

Dear Aye Chan,

Do you have a copy of the contract template or the clause you refer to?

Does the Definitions cover it?

Regards
Janelle

Dear Janelle,

This is sample clause for the word " non-exclusive jurisdiction".

“This contract will be governed by and construed in accordance with the laws of the United Kingdom and shall be subject to the non-exclusive jurisdiction of the court of Great Britain”.

Thanks & Regards
Aye Chan

Dear Aye Chan,

Ok I get it know.
Non-exclusive generally will mean that parties can go to other courts and not be stopped, however the contract terms make it clear that the law will be that of the UK (that covers England, Scotland Wales, some Irish as well so that can be problematic too-better maybe to choose which one like courts of England) , so the term is not an easy one. I have no expertise but had to deal with some contracts in different jurisdictions. I say this by way of information not advice of course.

Absolute clarity is always best unless of course there is a compromise to get it done.

The best blurb on this is in Lexology ‎that I shall send on in the next email.

Regards
Janelle
