Urgent - An SOS and a fervent appeal to the nominated directors of IIISLA
Respected Nominee Directors of IIISLA,
Good Morning. Please consider this message as a humble prayer from about 11,000 individual SLA licensed holders and about 8,800 bonafide members of IIISLA whose future, career and livelihood are dependent on the profession of insurance surveyors.
IIISLA was formed as a professional institute and promoted by IRDAI based on the recommendations of Shri KN Bhandari Committee. IIISLA was to be granted chartered status to act as an independent, self governing and regulatory body over a period of time based on its performance and its readiness to accept the role as a self governing and self regulatory body.
The governing body of IIISLA comprises of 12 elected Central Council (CC) members from the surveyors community and 3 nominated directors representing Ministry of Finance (GOI), IRDAI and GI Council. The addition of these 3 nominated directors was done by the think tank after some serious and careful consideration, with a far-sight that the elected CC members are guided properly by the nominated directors with sound advice, help in institution building in making IIISLA a strong professional body to be eligible to be granted chartered status on the lines of ICAI, CMA, ICSE, etc., in addition to preempt and prevent the elected representatives from misusing the office of IIISLA and IIISLA funds.
IIISLA was formed and incorporated as a company under Companies Act during the year 2005 and the first Central Council members took the oath of office during the year 2007.
But the nominated directors have taken no interest in IIISLA affairs, hardly participated in the CC meetings, never attended the general body meetings, never guided the elected CC members in the right direction, never stopped or prevented the elected CC members when they resorted to misuse of IIISLA office and funds, or when they acted in an aristocratic manner or indulged in gross misconduct, etc. Please consider some exceptions here. But the exceptions are far and few. Thus, the objective of having 3 nominated directors in the IIISLA governing council was not served. On the contrary, their disinterest in IIISLA affairs and their abstention from the board meetings, not taking part in the decision making process, has left the IIISLA governance totally in the hands of few elected CC members and office bearers who are emboldened to act at their whims and fancies as if they are running a family owned private limited company, but certainly not a professional institute.
Now IIISLA, after 10 years of its existence, is no where near to achieving its objectives to claim and attain the chartered status, but on the contrary is clearly heading on the path to self destruction. The general body meetings are a clear farce, the Minutes of Meetings are never released, and we find they are fabricated and manipulated to suit the CC members, monies are spent and disbursed at will, the CC members and office bearers influence and interfere in the election process, they also introduce certain schemes in violations of the provisions of the Memorandum and Articles of Association, etc.
A weak IIISLA is also responsible for removal of Section 64 UM from the Insurance Amendment Act 2015 to be replaced by Section 82 by the government, giving the IRDAI the powers in taking certain decisions and in framing Surveyors Regulations 2015 which is sure to eliminate or throw out a good number of practising surveyors who are dependent on this profession for over 20-25 years, and in GIPSA not deciding on a fair survey fees and expenses to be paid for the services rendered to the surveyors thus forcing them into a state of penury and misery, blatant violations by private insurance companies in use of their employees as in-house surveyors for the claims exceeding in value the prescribed no survey limits, etc. These are just a few examples, and the grievances are a lot more.
If this same process continues for some more time, there will not be many independent practicing surveyors left and it may create a great void between the demand and supply in the coming days to service the fast growing insurance market. And we will be experiencing the repeat of pre nationalization days of the insurance industry, that is 1968. The consumers in distress would be cheated and exploited by the private insurers and they will never get a fair deal while the big houses and corporates would indulge in taking away inflated claims.
Now our simple and humble appeal to you all the nominated directors is to please attend the meetings of board of directors regularly (there would be about 4 in a year) and also attend the general body meetings, participate actively in the decision making process, guide IIISLA in the right path with your vast experience in administration and institution building, etc. Your just presence in the general body meetings would bring in an orderly conduct of business and put to check the arrogance of our elected CC members and office bearers.
There is a proposed Annual General Meeting to be held at Ahmedabad on 23rd of this month (23-09-2017) which is about a week away from now. Please do attend this AGM positively, all the 3 nominated directors, and make your presence felt to assure smooth conduct of the meeting. This would be the first step towards the reparation of IIISLA and to bring it back on it’s right track and the path to progress. Yes – your simple deeds and mere presence are the key to the initiation of the desired changes. And only you can save IIISLA now.
Save IIISLA and save the profession. Please take this message as an SOS or a distress call from the ordinary members who are fondly looking towards you with great expectations with your simple deeds.
