Closing Branch office of Foreign Company in India

Hi Friends

Please post your valuable opinions on the following query:

A Foreign Company is having a Branch Office in India, Now this Foreign Company wants to close it branch office.

Can anyone explain the procedure to wind-up a branch office in India ?? Is there any scope of applicability of Winding up procedure mentioned under Companies Act, 1956 ??

Dear professional colleague
 
You need to file form 52. You might have received the intimation letter from the RBI. It is to be attached to this form. You are also required to attach a resolution/ letter stating decision of foreign company regarding closure of office.
 
Finally you get the certificate of closure u/s 597(3) from the MCA.
