Error with ArcSWAT Install

Hi,
I am hoping you can help me with a problem I am having with the ArcSWAT installation.
I have ArcMAP 10 installed with the ArcDesktop 10 Service
Pack 4 installed on a computer running Windows XP. However, when I attempt to run setup as an administrator, I
get the following error message.
"The installer has encountered an unexpected error installing
this package. The may indicate a problem with the package. The
error code is 2869."
The tutorials on the website indicate you must have MS net 2.0 installed. However, I have 4.0 installed and it will not let me go backwards to 2.0
Any help you can provide would be greatly appreciated.
