Erika & Mel,

I just heard about the meeting tomorrow. I feel that it was a little much getting 24 hour notice. It was a very long time, over a month, for me to be able to finish responding, and I feel like we have a double standard, as this was just a few days to actually put together all the information that was requested. This is my last time to  be able to do so and it just isn’t ready. I would love to have many moths to get this all updated and correct, but even just another week or so would be helpful. I just have lots of anxiety about this and it sucks working on this super late on a friday night to get it ready when not feeling so well. Anyways this is what we have… Obviously Patrick if you have anything to add feel free to present anything you’d like. This is just what I have, its not perfect, and it isn’t trying to say anything one way or an other, as I just want the information to be presented, and then revised as neutrally as possible so an informed decision can be made.

Overall #’s:
  • $25,000-$45,000 BAC Funds that we not clear what program they were for and our policy is that if it is not clear it goes automatically to higher % admin fee program. At 10% for BAC that would be $2,500-$4500 right there.

  • $104,000 went through BAC at least
  • $1,968 fees was taken from CLN account
  • $134,000 that went through DS account
  • $238,000 (just over the last 2 or so years between BAC and DS)
  • -
  • $3,000 of fees were paid
  • $7,000 of fees at 3% but we know it is much more
  • $10,000 easily could be the total
  • Difference as much as $5,000-$7,000

    Also I think it is fair to remind that we were not told about the summer program until after it was over. The very instant that it was brought up we mentioned the 3% fee. So the time between learning about the Sumer program, and requesting the 3% fee was literally no time, maybe a minute while learning about it. So the idea that it was in the past doesn’t make much sense to me as the fee was brought up instantly when we learned about it. It was agreed in that moment to bring it to the BAC board, but then that path was blocked and still has never gone to the board. So now it is going to Erika and Mel, and we will see where it goes from there.

    Also a reminder that the funds from Digital Storytellershave already been transferred and $500 is being put in the join account for admin fees. The DS account will now be closed in the next week. With that done, the only question is if there will be any additional admin fees beyond that. So $0 would be no additional fee. Any amount above $0 that is agreed to, if it could not be paid upfront, would need to be approved by the BAC board, otherwise it is not legal and there would be no way to collect in the future. So if there is a decision made beyond the $0 fee, like $500, $1000…etc.. and it was going to be paid at some time in the long term future, then it would need to go to the BAC Board for final stamping. As Erika and Mel do not have any legal authority to make budgetary decisions over the BAC budget. If the decision comes back as $0, then as long as the WCTC Board approves that, basically heather as I am stepping out of the decision, then it would be a done deal. So Mel would only need to convince heather. If heather didn't agree to $0 In that case, then we would be right back where we started, and would probably need to go back to the BAC board regardless.

I want to respect your request to have sufficient information so we can make the best decision on behalf of WCTC and BAC, and in the best interests of Jay and Patrick. Hi Jay,

Yes, thank you for sending this over and I appreciate all of you work. I am sorry that this has become stressful.

I am a little confused though about the additional work and want to clarify on the documents you sent me. What we had discussed was you sending me the spreadsheets containing transactions along with any documents containing policies related to the fiscal fee that were shared with Patrick previously, unedited. My point in this was to understand what you both have originally agreed to and where you are, based on your work together and what documentation has existed to cite agreement to sponsorship guidelines. Thank you for the email citing additional numbers as well that coincide with the spreadsheets.

I also want to clarify that my intention today in chatting with Melissa was to check-in after our last call and update her on my conversation with Patrick. I wanted to talk to her regardless of whether the documents were received or not. Apologies for the miscommunication around that and that additional work that created for you, Jay. 

Melissa, I would love to still check-in today if you're available.

It seems like you are pretty clear on them as it is simply the agreements, policies, and financial spreadsheets. So that is what I sent you.

The % admin fee calculations are NOT complete. Therefore in my request for more time to do more work, it would be in further calculating a more accurate accounting of the admin fees based on an overall 3%. If I had more time to do that I would be able to go through more transactions, it is a lot of work. I would need a specific deadline for when I would need to stop by. Otherwise if you feel like you have enough information already there is no reason to waist time doing a bunch of work that is not going to be revised anyways.
