Closure of LLP

Dear All,

Kindly help me with the following query:

A LLP which was incorporated in 2014 had ceased to do business since incorporation but has filed Form 8 for FY 2014-15 with NIL revenue. 

further they have filed Form 11 for FY 15-16.

Now they want to close the business. Can we proceed with the same or do we need to File Form 8 first for FY 15-16 ?

Also what will be the stamp duty value for affidavit and indemnity bond in Bangalore?

If anyone can share the documents for closure will be helpful.

Hi,

No need to file pending annual filing forms. You can directly go for LLP closure provided form 3 of the LLP is filed with the ROC.

Yes, if the company has a bank account then take bank clouser Certificate & Attached in the LLP 24- form also.

No.. you are not required to attach form 8 / 11 to Form 24 for closure of LLP, However annual filing of the concerned LLP should be done till last financial year, following which the clouser forms is to be filed.

Application to be addressed to CRC as per sec 248(2) read with rule 4 of the companies ( removal of names of companies from registrar of companies).

Dear Sir,

We are in the process of Striking off LLP. Since LLP has not carried on any transactions e-form 8 and e-form 11 was filed only till the LLP has carried out the transactions. In e-form 24 we are required to attach Form 8 and Form 11. Will you please be able to share the Word Formats for the same.
