No if u can get written consent from shareholders no need to pass special resolution and so no mgt14 required in tht case

Kindly advise: The Company’s Object Clause includes “Activities of commercial loan companies (including carrying on as its principal business the providing of loans or advances for any activity other than its own).” However, the Company has never carried on NBFC business and has not obtained any NBFC licence or registration.

In this case, can we submit a self-declaration/NOC stating the non-applicability of RBI registration while filing Form STK-2 for strike off with the ROC?

dear sonal

one of the basic document for conversion from firm to LLP is Registration Certificate.  without that, it wont be possible to convert to LLP
