Clarification on Requirement of License Surrender for Section 8 Company Prior to Strike-Off

HI,

I seek your guidance on a matter relating to the proposed strike-off of a Section 8 Company under Section 248 of the Companies Act, 2013.

Kindly advise whether it is mandatory to first surrender the Section 8 license and convert the company into a normal private limited company before proceeding with the strike-off application. Alternatively, can the company directly apply for strike-off while continuing as a Section 8 entity, subject to compliance with the applicable provisions?

I would appreciate your clarification on the correct legal position and the recommended course of action in this regard.

  A Section 8 company is not required to surrender its licence or convert into a private limited company prior to strike-off; it may directly apply under Section 248, subject to proper disposal of its assets in accordance with Section 8 conditions.

As per Section 248 (3) :

Nothing in sub-section (2) shall apply to a company registered under section 8.

Therefore, you can not directly strike off.
