Hi All,

In case, if the unsecured NCDs are issued only to a Company and not to any other entity. 

Would such issuance still be considered as deposit or would it not be considered as deposit in terms of Rule 2(1)(c)(vi) of The Companies (Acceptance of Deposits) Rules, 2014.

yes, a company can issue unsecured debentures as pursuant to section 71(3); it is said that Secured debentures may be issued.

So, as per my interpretation company can issue unsecured debentures.

Yes, unsecured debentures if not listed on any stock exchange, then will be considered as deposit.
