MGT-14 and Change in MOA/AOA

1. Can we Change the Object clause, Name clause in a single EGM and file a single MGT-14?

2. While filing MGT-14 /INC-24 how to attach the revised MOA/AOA?

a.  Scanned pdf of the physically signed copy of MOA/AOA which is prepared in a word file

OR 

b.  in INC-34 and INC-33 with digital signature

1) Yes you can change both name & object clause in single EGM & file it in one MGT-14

2) While filing MGT-14, attach the MOA & AOA which is physically signed.

First file MGT14, let it approve and then file Form INC24.

1. who should sign the amended MOA/AON for the subscribers  after the 6th clause "We, the several persons, whose names and addresses are subscribed, are desirous...." OR any director  (how many)   can sign it?

2. And in what capacity they should sign? as Directors or Persons holding shares?

3. should we put the title as "Table A- AMENDED MEMORANDUM OF ASSOCIATION OF A COMPANY LIMITED BY SHARES" and give footnotes for what is amended?

4. Should the witness be anyone or should be a CS/CA?

5. If possible please share a draft for the same

Every director of the company should sign each page of the Altered MOA/AOA. You have to give a footnote with an asterisk* saying that "Altered vide Ordinary resolution (incase of MOA only) & Special Resolution (incase of AOA or both) passed by the Members at the EGM /AGM (as the case may be) dated _____".

The concept of witness doesn't arise here since it is an Altered MOA/AOA.
